These General Terms and Conditions apply to services provided by:

L’AURA ESCAPE ESTATES AG

Principality of Liechtenstein

Website: [www.escapeestates.ch](https://escapeestates.ch)

hereinafter referred to as ‘L’AURA’.

These General Terms and Conditions apply to property searches, buyer representation and independent property consultancy services

provided by L’AURA to its clients.

They do not apply to the letting of holiday accommodation, accommodation services or the arrangement of accommodation bookings. Such

services are subject to separate booking and letting terms and conditions of the respective owner or accommodation provider.

2. Individual Assignment

The exact scope of each engagement is set out in an individual quotation, a mandate agreement, a service contract or a written confirmation of engagement.

A contract is formed when the client accepts the quotation or the mandate agreement in writing or electronically, or makes an agreed payment, and L’AURA confirms the engagement.

In the event of any conflict between these General Terms and Conditions and an individual written agreement, the individual agreement shall

take precedence. The information published on the website does not in itself constitute a binding offer.

3. Nature and scope of services

L’AURA provides independent buyer-side property consultancy and coordination services for international clients who are considering the

purchase of a property – particularly in Tuscany.

Depending on the specific terms of the engagement, the services may include, in particular, the following:

* Defining the client’s purchase profile and requirements;

* Location and market strategy;

* Identification and shortlisting of properties advertised publicly, available through the network or, where applicable, not publicly marketed;

* Communication with sellers, owners, estate agents and other parties involved;

* Organisation or facilitation of property viewings;

* Initial assessment of a property opportunity;

* Assistance with pricing and negotiation strategies;

* Coordination of documentation and the timeline for the purchase;

* Coordinating independent legal, notarial, tax and technical experts;

* Facilitating communication between the parties involved;

* Support with preparing the finalisation of the transaction and with agreed measures following the acquisition.

The scope of services comprises exclusively those services expressly specified in the individual engagement letter.

Unless expressly agreed in writing, L’AURA is not commissioned to carry out ongoing property management, holiday lettings, construction supervision or maintenance of the property.

4. Acting on behalf of the buyer

L’AURA acts in the buyer’s best interests within the scope of the agreed mandate. L’AURA does not represent the seller in the same transaction and is not authorised to legally bind a seller, owner, estate agent or any other third party.

L’AURA is neither the owner nor the seller of the properties presented to the client, unless this is expressly and transparently disclosed in writing.

The availability of a property must be confirmed by the owner or the party authorised to sell it. A property may be withdrawn, reserved, sold or have its price changed at any time.

5. No legal, tax, notarial or technical advice

L’AURA is an independent property adviser and coordinator. L’AURA is not a law firm, tax consultancy, notary’s office, architectural or

engineering firm, surveying firm, financial adviser or regulated investment adviser.

L’AURA does not provide any legal, tax, notarial, architectural, engineering, surveying, financial or investment-related advice, nor does it carry out any activities reserved by law for authorised professionals.

Where such specialist knowledge is required, the client must engage suitably qualified and independent professionals. An initial assessment or observation by L’AURA serves solely to identify potential issues and the need for further examination. It does not replace an independent professional examination.

6. Property Information and Due Diligence

Information about properties may be obtained from owners, selling estate agents, public property listings, public registers, professional

contacts or other third-party sources.

L’AURA exercises due care when collecting and passing on such information; however, it cannot guarantee that information provided by third parties is complete, accurate or up to date.

Photographs, descriptions, floor area details, property boundaries, ownership structures, planning information, land registry details, condition reports, letting potential, renovation potential and cost estimates must, where relevant, be independently verified.

The client must not base a binding decision solely on marketing materials, informal statements or preliminary information.

Before signing a purchase offer, a reservation agreement, a preliminary contract or any other legally significant document, the client should seek appropriate independent legal and technical advice.

7. Independent experts and third parties

A property purchase may require the involvement of independent professionals, including solicitors, notaries, architects, surveyors, engineers, accountants, tax advisers, lenders, insurers, tradespeople or property managers.

L’AURA can introduce such professionals or coordinate their involvement, but accepts no liability for their work, advice, availability, pricing or performance.

Unless expressly agreed otherwise, the client shall engage each external professional directly. A separate contractual relationship is established between the client and the respective professional.

Third-party fees, taxes, charges and external costs are not included in L’AURA’s fee, unless this has been expressly agreed in writing.

The client is solely responsible for reviewing and accepting the contractual terms and fees of the relevant independent specialist.

8. Fees and Payment

L’AURA’s fees are set out in the individual quotation or the relevant engagement agreement. Depending on the assignment, the fees may consist of:

* an initial consultancy or engagement fee;

* fixed fees for clearly defined services;

* hourly or daily rates;

* an agreed success fee;

* reimbursement of agreed expenses; or

* a combination of these forms of remuneration.

All fees, payment stages, applicable taxes and payment deadlines will be communicated before the start of the relevant assignment.

Invoices must be paid within the period specified on the invoice. If no payment deadline is specified, the invoice is due within ten calendar days of the invoice date.

The client is not entitled to withhold payments or to set them off against counter-claims, unless the counter-claim is undisputed or has been established by a final and binding court decision. If an invoice remains unpaid after the due date, L’AURA may temporarily suspend the provision of further services, subject to mandatory statutory provisions.

9. Expenses and travel costs

Reasonable external costs incurred in connection with the engagement may be invoiced separately to the client, provided this has been agreed.

These may include, in particular, travel, accommodation and transport costs, professional translations, the procurement of documents, courier costs, costs for access to properties and other transaction-related expenses.

Significant expenses must be approved in advance by the client. L’AURA may require an advance payment for substantial travel or third-party costs. Non-reimbursable costs that have already been incurred on the client’s instructions or that have been bindingly agreed remain payable even if the client postpones or cancels the service in question.

10. Agency fees and potential conflicts of interest

L’AURA endeavours to act independently, transparently and exclusively on the buyer’s behalf. If a conflict of interest cannot be adequately managed, L’AURA may refuse or terminate the relevant engagement.

11. Client’s duty to cooperate

The client undertakes to:

* to provide complete, accurate and up-to-date information;

* to disclose the intended use of the property and the relevant requirements;

* to disclose any significant budgetary, time or financing constraints;

* to review the information and documents provided;

* to respond within a reasonable time when decisions are required;

* to engage suitably qualified independent professionals;

* to seek legal advice before signing any legally significant documents;

* to ensure adequate funding and to verify the source and availability of funds;

* not to transfer any funds without appropriate professional scrutiny;

* to inform L’AURA of any material changes affecting the mandate; and

* to comply with applicable legal, tax, anti-money laundering and identification requirements.

L’AURA shall not be liable for any delays, additional costs or losses caused by incomplete, incorrect or belatedly provided information from the client or a third party.

12. No guarantee of a property purchase or a specific outcome

L’AURA does not guarantee:

* that a suitable property will be found;

* that a specific property will remain available;

* that a seller will accept an offer;

* that the parties will reach an agreement;

* that financing will be approved;

* that a permit or planning permission is granted;

* that a renovation, extension, letting or commercial use is permitted;

* that a transaction is completed within a specified period;

* that a property will increase in value;

* that a specific level of rental income or investment returns is achieved; or

* that a property can be resold at a later date within a specified period or at a specified price.

The decision to make an offer, to purchase, renovate, use, let or resell a property rests solely with the client.

13. Viewings and property tours

Viewings and property tours are subject to availability and confirmation by owners, selling estate agents and other parties involved.

L’AURA accepts no liability for cancellations, changes, access restrictions or incorrect information caused by third parties.

The client is personally responsible for their own travel documents, insurance and safety whilst travelling and during property viewings.

Properties may feature uneven terrain, unsecured areas, building sites, swimming pools, agricultural land or other potential hazards. Clients

must follow appropriate safety instructions and remain responsible for their own conduct during viewings.

14. Confidentiality

L’AURA treats confidential client information with due care and uses it only for the purpose of carrying out the engagement, complying with

legal obligations and for legitimate business administration. The client must also treat any confidential or non-public information received from L’AURA with due care.

Information regarding off-market properties, owner details, professional reports, price negotiations and other confidential documents must

not be published, disclosed or used for any purpose other than that of the mandate without the appropriate authorisation.

This provision does not prevent disclosure required by law, an official order, a court order or to a competent authority.

15. Intellectual Property

Unless otherwise agreed, documents, search reports, property shortlists, analyses, templates, written valuations and other materials produced by L’AURA remain protected by copyright. The client is granted a personal, non-transferable right to use the materials provided under the terms of the engagement for the purpose of their own property acquisition.

The client may share relevant documents with their independently engaged professional advisers, provided this is necessary for the

transaction and confidentiality is maintained. The materials must not be reproduced, sold, published or commercially distributed without prior written consent.

16. Data Protection

Personal data will be processed in accordance with L’AURA’s privacy policy and applicable data protection law. To the extent necessary for the engagement, the client authorises L’AURA to disclose relevant information to sellers, selling estate agents and independently engaged specialists . Only such information as is reasonably necessary for the respective purpose shall be disclosed.

Further information can be found in the privacy policy published at [www.escapeestates.ch](https://escapeestates.ch).

17. Cancellation and statutory right of withdrawal

The client may terminate an ongoing mandate in accordance with the terms of the individual mandate agreement. Fees for services duly rendered and expenses incurred up to the date on which the termination takes effect remain payable. Agreed provisions regarding fixed fees, service phases, advances or success fees remain applicable to the extent permitted by law.

If the client is a consumer and the contract was concluded by distance selling or outside L’AURA’s business premises, the client may be entitled to a right of withdrawal within the period provided for by law.

If the client expressly requests that L’AURA commence the provision of services before the expiry of a statutory withdrawal period, the client

may be obliged to pay for the services provided on a pro rata basis up to the time of withdrawal.

If the service has been provided in full following an express request and corresponding confirmation from the client, the statutory

right of withdrawal may lapse prematurely to the extent permitted by law. Mandatory consumer rights remain unaffected.

18. Termination by L’AURA

L’AURA may suspend or terminate a contract for good cause, in particular if:

* the client fails to pay a due invoice;

* the client provides substantially incorrect or misleading information;

* the client demands conduct that is unlawful, misleading or professionally inappropriate;

* the necessary cooperation or documents are not provided;

* a material conflict of interest arises;

* continuing the engagement could breach statutory or regulatory obligations;

* communication or conduct renders professional cooperation unreasonable; or

* the relationship of trust required for the engagement is significantly compromised.

Where reasonably possible, L’AURA shall inform the client and afford them a reasonable opportunity to remedy the problem before the

engagement is terminated. Termination shall not affect fees and expenses already incurred, nor shall it affect provisions which, by their nature, are intended to remain in force beyond the termination.

19. Liability

L’AURA is responsible for providing the expressly agreed services with due professional care.

L’AURA shall not be liable for any independent acts, omissions, advice or professional conclusions on the part of sellers, owners, estate agents, solicitors, notaries, architects, surveyors, engineers, accountants, tax advisers, financial institutions, tradespeople, public authorities or other third parties.

L’AURA shall not be liable for any losses arising from incorrect or incomplete information provided by third parties, unless L’AURA was aware that the information in question was materially incorrect and failed to draw the client’s attention to this. To the extent permitted by law, L’AURA shall not be liable for indirect or consequential damages, lost opportunities, loss of anticipated profits, rental income, investment returns or increases in the value of a property.

No provision of these General Terms and Conditions shall exclude or limit liability where such exclusion or limitation is prohibited by mandatory law. This applies in particular to wilful misconduct, gross negligence and – where applicable – death or personal injury. Any further limitation of liability agreed in respect of a specific engagement shall be set out in the individual engagement agreement and shall apply only to the extent permitted by law.

20. Force majeure

Neither party shall be liable for any delay or failure to perform caused by events beyond its reasonable control. These may include natural disasters, extreme weather, fire, epidemics, war, civil unrest, industrial action, disruptions to transport or communication systems, government measures, regulatory delays or the unexpected unavailability of essential third parties.

The affected party must notify the other party as soon as reasonably practicable and take reasonable steps to minimise the consequences of the event. Payment obligations for services already rendered and costs already incurred remain unaffected.

21. Complaints

Clients should raise any concerns as early as possible so that they can be investigated promptly. Complaints may be addressed to:

L’AURA ESCAPE ESTATES AG

Address: Zur Schule 3, 9494 Schaan, Principality of Liechtenstein

L’AURA will acknowledge receipt of a complaint and investigate it within a reasonable period of time.

22. Amendments

The version of these General Terms and Conditions agreed upon at the time the contract is concluded shall apply to that contract. L’AURA may update the version published on the website for future contracts. Substantial amendments shall not apply retrospectively to existing contracts, unless agreed by both parties or required by law.

23. Governing Law and Jurisdiction

These General Terms and Conditions and the contractual relationship between L’AURA and the client are governed by the law of the Principality of Liechtenstein. Mandatory consumer protection provisions applicable in the client’s country of habitual residence remain reserved. To the extent permitted by law, the courts of the Principality of Liechtenstein shall have jurisdiction. Consumers’ mandatory rights to bring proceedings before another competent court remain unaffected.

24. Severability clause

Should any provision of these General Terms and Conditions be or become invalid, unlawful or unenforceable, the remaining provisions shall

remain unaffected.

To the extent permitted by law, the invalid or unenforceable provision shall be replaced by a valid provision or interpreted in such a way

that its economic purpose is achieved to the greatest extent possible.

25. Language

These General Terms and Conditions may be made available in several languages. In the event of any discrepancies between different language versions, the version designated as the authoritative version in the individual engagement agreement shall prevail. Mandatory consumer protection provisions remain unaffected.
